Intercompany transfer and license agreement

An intercompany transfer and license agreement is an agreement by which two (or more) different group companies grant each other a certain right. An intercompany transfer and license agreement often provides that all intellectual property rights (a trademark, patent or, for example, a copyrighted work) and know-how developed by a particular operating company are automatically transferred to the group company into which the intellectual property rights and know-how of the group companies are incorporated. The agreement ensures that through a grant-back license a right of use of these intellectual property rights and know-how is granted to the group company.
